These Terms govern your access to and use of MikeBuildsTech services (the “Services”) provided by Mike Builds Tech, located at 28 Rue du Chemin Vert, 75011 Paris, France (“we”, “us”, “our”). By engaging with the Services, you (“Client” or “you”) agree to be bound by these Terms and our Privacy Policy. If you are entering on behalf of a business, you warrant you have the authority to bind that business.
We provide product development services including MVPs, AI agents, dashboards, back-office tools, APIs, automations, and custom business tools. Deliverables are defined in a mutually agreed Statement of Work (SOW). Timeframes, milestones, and pricing are set in the SOW. We strive for production-ready outcomes but do not guarantee specific results beyond the agreed deliverables.
Our standard pricing is outlined publicly, with production-ready MVPs starting at €9,000, AI agents at €3,000, and SaaS work from €15,000, subject to the SOW. Invoices are payable within 14 days unless otherwise agreed. Late payments may incur interest at the legal rate. All fees are exclusive of VAT unless required by law. Clients are responsible for any third-party costs specified in the SOW.
Unless otherwise specified in the SOW, MikeBuildsTech retains ownership of underlying tools, templates, and code libraries. Upon full payment, we grant the Client a non-exclusive, worldwide, perpetual license to use the Deliverables generated specifically for the Client in connection with the Client’s business. Custom source code and assets developed for the Client remain the Client’s property if expressly assigned in the SOW; otherwise, ownership remains with MikeBuildsTech, subject to a reasonable perpetual license to use for portfolio and marketing purposes (no sensitive confidential data).
Each party shall keep confidential all non-public information disclosed in connection with the Services. We will process any personal data in accordance with our Privacy Policy and applicable data protection laws, including the EU General Data Protection Regulation (GDPR). If the Client provides personal data to us, we will implement appropriate technical and organizational measures to protect it and will assist with data subject requests as required by law.
We warrant that the Services will be performed with reasonable care and skill. EXCEPT AS EXPRESSLY SET OUT, THE SERVICES ARE PROVIDED “AS IS” AND WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not guarantee uptime or error-free operation beyond what is stated in the SOW.
To the extent permitted by law, neither party shall be liable for indirect, incidental, special, or consequential damages or loss of profits, data, or business opportunities arising out of or in connection with these Terms or the Services. Our aggregate liability for direct damages shall not exceed the amounts paid or due under the applicable SOW in the 12 months preceding the event giving rise to liability.
Either party may terminate the Services for material breach that remains uncured after written notice. We may suspend the Services if the Client fails to pay or engages in conduct that disrupts our operations. Upon termination, the Client may request the return of its data in a structured, widely used format, provided fees are settled. Provisions concerning ownership, confidentiality, and payment survive termination as applicable.
